These Terms & Conditions (“Terms”) govern your use of our website and our professional technology services, including Managed Service Provider (MSP), ERP consulting, Website & eCommerce development, Cloud Services, and AI workflow automation.

1. Who We Are

2. Scope of Services

  • MSP: Network monitoring, cybersecurity, help desk, and infrastructure management.
  • ERP: Implementation, configuration, customization, and integration of enterprise systems such as Odoo.
  • Website & eCommerce: Custom WordPress, Odoo, or Shopify builds, SEO optimization, and performance hardening.
  • Cloud Services: Virtualization, migration, and maintenance on AWS, Google Cloud, and DigitalOcean.
  • AI Workflow Automation: Design and deployment of AI-powered process automation, chatbots, and decision workflows using third-party AI models and custom logic.

3. Use of AI & Automation Services

  • AI outputs are generated algorithmically and may contain inaccuracies; human verification is required before acting on results.
  • PMDS may use third-party AI APIs and orchestration tools under their own terms (e.g., OpenAI, Google Vertex AI, n8n).
  • Clients must ensure they have legal rights to process the data provided to any AI automation system.
  • AI services must not be used for illegal, discriminatory, or harmful purposes.

4. Fees and Payments

Fees are defined in quotes or service agreements. Payments are due upon receipt unless otherwise stated. Taxes and third-party costs are the customer’s responsibility.

5. Intellectual Property

All pre-existing tools, frameworks, and intellectual property developed by PMDS remain our property. Upon full payment, you receive a non-exclusive license to use deliverables internally. Custom code developed specifically for your project may be transferred upon written agreement.

6. Confidentiality and Data Protection

Both parties must protect each other’s confidential information. PMDS applies reasonable technical and organizational safeguards. Clients remain responsible for the lawful basis and accuracy of data processed in automation workflows.

7. Limitation of Liability

PMDS is not liable for indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the total fees paid in the 12 months preceding the event giving rise to the claim.

8. Governing Law

These Terms are governed by the laws of the State of Florida, USA. Exclusive jurisdiction lies in the courts of Florida.

9. Updates

We may update these Terms periodically. Changes take effect once posted on this page. Continued use of the website or Services indicates acceptance.
